Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at soniqueai.10web.cloud, the Sonique AI client portal, and any content, resources, or features that link to these Terms (together, the "Site").
By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms are not a substitute for legal advice and do not replace any Master Service Agreement, Statement of Work, Order Form, Data Processing Agreement, or other contract you sign with us.
1. Who we are
The Site is operated by Sonique Limited, doing business as Sonique AI, a division of Sonique Limited ("Sonique AI", "we", "our", or "us").
We provide AI consulting, automation, and coaching products and services for business clients. This includes discovery sprints, pilot builds, workflow automation and integration work, AI governance and compliance support, specialized AI agents, and dedicated coaching services delivered through the Site and client portal.
2. How these Terms relate to other agreements
These Terms apply to your use of the Site and client portal. If you or your organization engage Sonique AI for any product, subscription, or project, that work will be governed by separate agreements, such as:
If there is any conflict between these Terms and those agreements, the other agreements will control for the relevant work.
- A Master Service Agreement (MSA)
- One or more Statements of Work (SOWs) or Order Forms
- A Data Processing Agreement (DPA) or similar addendum
3. Eligibility, accounts, and portal access
You may use the Site only if you:
If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
For parts of the Site, including the client portal, you may need an account. If you have an account:
We may disable or restrict accounts if we believe these Terms are being violated or there is a security concern.

- Have the power to enter a binding agreement with us.
- Comply with these Terms and all applicable laws.
- You must keep your credentials confidential.
- You are responsible for all activity that occurs under your account.
- You must tell us right away if you believe your account has been compromised.
- You must keep your registration and contact information current and accurate.
4. Acceptable use
You agree that you will not:
If your organization has a separate contract with us, your use of the portal must also follow any acceptable use or security policies set out in that contract. We may monitor use of the Site and portal and may suspend or block access if we believe these Terms are being violated.
- Use the Site or portal for any unlawful, harmful, or abusive purpose.
- Attempt to gain unauthorized access to any part of the Site, portal, or related systems.
- Probe, scan, or test the vulnerability of any system or network without our written permission.
- Interfere with or disrupt the Site, portal, or any servers or networks used to provide them.
- Use any automated system to access the Site or portal in a way that sends more requests than a person could reasonably send in the same period, unless we have given you written permission.
- Reverse engineer, decompile, or attempt to extract source code from the Site or portal, except where allowed by law.
- Upload or transmit any content that is illegal, infringing, defamatory, or harmful.
- Upload confidential or sensitive data into free text fields that are not designed or agreed to hold that type of data.
5. Content and intellectual property
All content on the Site and portal, including text, graphics, logos, icons, images, audio clips, video, software, and the selection and arrangement of these items, belongs to Sonique Limited or our licensors and is protected by law.
Subject to these Terms and any applicable contract with your organization, we grant you a limited, revocable, non exclusive, non transferable license to access and use the Site and portal for your internal business purposes and to evaluate or use our products and services.
You may not:
- Copy, modify, or create derivative works based on the Site or its content, except as clearly allowed by the Site features or a written agreement with us.
- Remove or change any copyright, trademark, or other proprietary notices.
- Use any Sonique AI trademarks, logos, or branding without our prior written consent.
6. Your content and feedback
If you submit content through the Site or portal, such as form responses, configuration details, prompts, or files ("User Content"), you are responsible for that content. You agree that:
By submitting User Content through the Site or portal, you grant Sonique AI a worldwide, non exclusive, royalty free license to use, copy, store, display, process, and create derivative works from that content for the purposes of:
If you send feedback, suggestions, or ideas about the Site, portal, or our products, we may use them for any purpose without obligation to you.
- You have the right to share the User Content.
- The User Content is accurate to the best of your knowledge.
- The User Content does not violate any laws or rights of others.

- Planning, delivering, and monitoring work with you or your organization, in line with applicable contracts.
7. Third party services and links
The Site and portal may contain links to third party websites or services and may allow you to interact with tools operated by others, such as scheduling platforms, video hosts, or analytics providers. We do not control these third parties and are not responsible for their content or practices. Your use of third party sites and tools is at your own risk and subject to their terms and policies.
If we use third party AI models or infrastructure as part of our services, those uses are governed by our agreements with those providers and by any client contracts that apply to your organization.
8. No professional advice
The content on the Site and portal is for general information only. It does not provide legal, tax, accounting, or investment advice. You should not rely on the Site or portal as a substitute for professional advice tailored to your situation.
9. Disclaimers
The Site and portal are provided on an "as is" and "as available" basis. To the fullest extent permitted by law:
Some regions do not allow certain disclaimers, so these limits may not apply to you where they are not allowed by law.
- We do not promise that the Site or portal will be uninterrupted, secure, or free from errors or harmful components.
- We do not promise that any information or content provided through the Site or portal is free of inaccuracies or that it will meet your expectations.
- We disclaim all warranties and conditions, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.
10. Limitation of liability

- Our total liability for all claims arising out of or related to the Site or portal will not exceed CAD 100.
11. Indemnification
You agree to indemnify and hold harmless Sonique Limited and its officers, directors, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to:
If your organization has a separate contract with us, this section will work alongside any indemnification terms in that contract.
- Your use of the Site or portal.
- Your violation of these Terms.
- Your violation of any rights of another person or organization.
12. Termination and suspension
We may suspend or terminate your access to the Site or portal at any time, with or without notice, if we believe you have violated these Terms, created risk for us or others, or engaged in unlawful conduct.
You may stop using the Site or portal at any time. Sections that by their nature should survive termination, such as ownership, disclaimers, limitations of liability, and governing law, will continue to apply.
If we provide services to your organization under a separate contract, suspension or termination of portal access may also be governed by that contract.
13. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in that province, without regard to conflict of law rules.
Any dispute arising out of or related to these Terms or the Site will be brought in the courts located in Toronto, Ontario, Canada, and you consent to the personal jurisdiction and venue of those courts.
If consumer protection or other laws in your jurisdiction give you additional rights or require different venues, those laws may apply despite this section.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the "Effective date" at the top and post the new version on the Site. In some cases, we may also provide additional notice, such as a banner or email.
If you keep using the Site or portal after the new Terms are posted, you are agreeing to the updated Terms.
